1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the AI Farming Inc. website (aifarming.ca) and the AI Farming Inc. mobile application for iOS and Android (collectively, the "Service"), provided by AI Farming Inc. ("AI Farming Inc. ," "we," "us," "our"). By creating an account, downloading the app, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of Service
AI Farming Inc. provides AI-assisted crop planning, plant health (disease/pest) scanning, soil and nutrient tracking, growth monitoring, task/calendar management, IoT sensor integration, and a marketplace for buying, selling, and trading seeds, produce, and gardening tools/devices, for home gardeners, schools/institutions, and commercial growers.
3. Eligibility and Accounts
- You must be at least 18 years old, or the age of majority in your jurisdiction, to create a personal account, or you must use the Service under the supervision of a parent/guardian or as part of an authorized School Garden institutional account (see Section 4).
- You agree to provide accurate, current, and complete information when registering, and to keep your account information updated.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@aifarming.ca of any unauthorized use.
4. School and Institutional Accounts
Educational institutions may register School Garden accounts and create sub-accounts for teachers, staff, and students as part of supervised classroom or extracurricular programs. The institution is responsible for (a) obtaining any consents required under applicable education and privacy laws (including parental consent where required) before enrolling students, and (b) supervising student use of the Service in compliance with these Terms.
5. Subscriptions, Fees, and Billing
- Plans — AI Farming Inc. offers a Free plan and paid subscription plans (e.g., Pro Garden+, Enterprise), each with specified feature and usage limits, as described in the app and on our website at the time of purchase.
- Free Trial — Paid plans may include a free trial period. Unless cancelled before the trial ends, your subscription will automatically convert to a paid subscription and billing will begin.
- Billing and Auto-Renewal — Paid subscriptions automatically renew for successive billing periods (monthly or yearly, as selected) until cancelled. Payments are processed through Stripe or, where you subscribe via the Apple App Store or Google Play, through Apple's or Google's respective billing systems, in which case their billing, refund, and cancellation terms also apply.
- Cancellation — You may cancel your subscription at any time through your account settings, or through your App Store/Google Play account settings if you subscribed there. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial periods except where required by law.
- Price Changes — We may change subscription prices with advance notice; continued use after a price change takes effect constitutes acceptance of the new price.
- Usage Limits — Each plan includes specified usage limits (e.g., number of AI plant scans, AI chat messages, crop recommendations per period). Exceeding these limits may require an upgrade to continue using the related feature.
6. Marketplace Terms
- The marketplace allows users to list, buy, sell, or trade seeds, produce, tools, and connected devices. Transactions are between users; AI Farming Inc. is not a party to the sale and does not take ownership of listed items unless expressly stated.
- Sellers are responsible for the accuracy of their listings, for complying with applicable laws (including agricultural, seed, food safety, and shipping regulations), and for fulfilling orders (pickup, delivery, or shipping) as agreed with the buyer.
- Buyers are responsible for reviewing listings and communicating with sellers before purchase. AI Farming Inc. does not guarantee the quality, safety, or legality of items listed by users.
- AI Farming Inc. may charge marketplace or transaction fees as disclosed at checkout. Payments are processed through Stripe; AI Farming Inc. is not responsible for payment disputes between users beyond facilitating the platform.
- We may remove listings or suspend marketplace access for violations of these Terms, applicable law, or suspected fraud.
7. AI-Generated Content; No Professional Advice
- AI Plant Health Scan results, crop recommendations, weather/frost alerts, and AI Chat responses are generated using automated AI/machine learning systems and are provided for informational purposes only.
- The Service does not provide professional agronomic, horticultural, veterinary, food-safety, or legal advice, and is not a substitute for consultation with a qualified agronomist, extension service, or other professional, particularly for commercial farming decisions or where crop health, food safety, or significant financial outcomes are at stake.
- AI Farming Inc. does not guarantee the accuracy, completeness, or reliability of AI-generated diagnoses or recommendations. You are solely responsible for decisions made based on information from the Service.
8. User Content
- "User Content" means photos, listings, notes, messages, and other content you submit to the Service. You retain ownership of your User Content.
- You grant AI Farming Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, and display your User Content as necessary to operate and improve the Service, including processing photos through AI models to generate recommendations, subject to the Privacy Policy.
- You represent that you have the necessary rights to submit your User Content and that it does not infringe third-party rights or violate applicable law.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Upload content that is false, misleading, defamatory, obscene, infringing, or that violates the privacy or rights of others;
- List prohibited, regulated, or unsafe items (e.g., banned pesticides, invasive/restricted species, controlled substances) in the marketplace;
- Attempt to reverse-engineer, decompile, or interfere with the Service or its AI models;
- Use automated means (bots, scrapers) to access the Service without our written permission;
- Circumvent usage limits, payment obligations, or security features.
10. Intellectual Property
The Service, including its software, design, trademarks ("AI Farming Inc. ," "Intelligent Plantation," and associated logos), and content (excluding User Content), is owned by AI Farming Inc. or its licensors and protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Service.
11. Third-Party Services and App Store Terms
The Service integrates third-party services, including Stripe (payments), Google Firebase (analytics, messaging, crash reporting), and push notification services operated by Apple and Google. Your use of those features is also subject to the applicable third party's terms.
If you download the app from the Apple App Store, you additionally acknowledge:
- these Terms are between you and AI Farming Inc. only, not Apple, and Apple has no obligation to furnish maintenance or support for the app;
- in the event of any failure of the app to conform to warranty, Apple's sole obligation, to the extent applicable, is a refund of the purchase price;
- Apple is not responsible for addressing any claims by you relating to the app, including product liability, legal/regulatory compliance, or consumer protection claims;
- Apple is not responsible for investigating, defending, or resolving any third-party intellectual property infringement claims;
- you represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government restricted-party list, and that you will comply with applicable export control laws; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
If you download the app from Google Play, your use is also subject to the Google Play Terms of Service.
12. IoT and Connected Devices
If you purchase or connect third-party IoT sensors or smart devices through the Service, such hardware may be subject to separate manufacturer warranties and terms. AI Farming Inc. is not responsible for the performance, safety, or defects of third-party hardware, except as required by applicable consumer protection law.
13. Disclaimers
THE SERVICE, INCLUDING ALL AI-GENERATED RECOMMENDATIONS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AI Farming Inc. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DIAGNOSES, WEATHER/FROST ALERTS, OR RECOMMENDATIONS WILL BE ACCURATE OR PREVENT CROP LOSS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI Farming Inc. AND ITS OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF CROPS, PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) CAD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless AI Farming Inc. from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, your marketplace transactions, or your violation of these Terms or applicable law.
16. Termination
We may suspend or terminate your account, in whole or in part, for violation of these Terms, suspected fraud or abuse, or as needed to protect the Service or other users, with or without notice where circumstances warrant. You may terminate your account at any time by contacting info@aifarming.ca or through in-app account settings. Sections that by their nature should survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Indemnification) will survive.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, unless applicable consumer protection law in your jurisdiction requires otherwise.

18. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms with a new "Last Updated" date and, for material changes, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
19. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and AI Farming Inc. regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver of that right.
